Apart from acting as a distributor, Tycoon Group also cooperate with reputable external manufacturers to develop and manufacture our private label products -- Boost & Guard and Wakan. In particular, Wakan Japanese Probiotics and BG Anti-Aging Probiotics won the "Marie Claire mcLikes Awards 2018". In December 2018, Boost & Guard won the "Most Popular Probiotics Brand" of the 11th TVB Weekly Brand Award.

Tycoon Group has adopted the following measures to ensure that its corporate governance system remains effective and professional:
I. The directors and the senior management of the Group have been trained by legal consultants to acquire a detailed understanding of the responsibilities of directors and management of a listed company and relevant laws and regulations and the listing responsibilities;
II. In 2018, Tycoon invited independent internal control consultants and established sound internal control system and procedures, so as to control risks and evaluate whether the risk to review the overall adequacy of the risk management and internal control system:
- The Group will engage external legal consultants to seek legal advice from and to provide legal training to the directors, managers and relevant employees, in order to ensure smooth operation of the Group in relevant aspects;
- If necessary, the Group will engage external consultants and other professionals, to ensure strict compliance with the laws and regulations;
- The Group appointed Shenwan Hongyuan Capital (H.K.) Limited as its compliance adviser to ensure that the Group complies with the applicable Listing Rules;
- The Group appointed three independent non-executive directors in the board of directors of the Company ("Board of Directors") to ensure the continuing effectiveness of the management of the Company;
- The Group established an audit committee, with the above three independent non-executive directors as its members, to regularly evaluate the effectiveness of the Group's financial reporting procedures, internal control and risk management system and supervise the audit procedures.

Mr. Ka Chun Michael Wong
Executive Director, CEO and Chairman of the Board of Directors
Mr. Wong founded the Group in 2015. With his years of working experience in the healthcare and personal care products industry, he has led Tycoon Group to become a leading and reputable provider regarding PCMs, healthcare and skin care brands in Hong Kong. He is responsible for the overall business strategies, planning, management and operational development of the Group.
Mr. Fan Shing Chan
Mr. Chan, who joined the Group in 2017, has extensive experience in auditing, finance and accounting management. He served as the company secretary and financial controller of CPMC Holdings Limited. He is responsible for the formulation of the Group's operations, corporate and business strategies, and also the management and supervision of the financial management of the Group.
Mr. Qingqi Yao
Mr. Yao was appointed as a non-executive director of the Group in 2019. He has over 20 years of experience in business management and is currently a general manager and director of CR Care Company Limited.
Ms. Yah Lien Chong
Ms. Chong was appointed as a non-executive director of the Group in 2019. She has rich experience in auditing, accounting and financial management, and is currently a deputy general manager of the Financial Management Department of China Resources Pharmaceutical Group Limited.
Mr. Wang Yu Gary Ng
Mr. Ng was appointed as a non-executive director of the Group in 2019. He has extensive experience in retail industry, wherein his last position in A.S. Watson Retail (HK) Limited was managing director and his last position in PARKnSHOP (HK) Limited was managing director as well.
Ms. Ka Wa Helen Li
Ms. Li was appointed as a non-executive director of the Group in 2019. She has more than 25 years of experience in retailing and corporate management. Ms. Li worked for The Dairy Farm Company Limited, and her last position was the CEO of Mannings (a health, personal care and beauty products retail chain) in Hong Kong & Macau.
Mr. Yuk Woo Louis Wong
Independent Non-Executive Director
Mr. Wong was appointed as an independent non-executive director of the Group in 2020. Mr. Wong was a purchasing manager of the Asia-Pacific region for Bunzl UK Ltd., a British healthcare products company, and rich knowledge of the healthcare industry.
Mr. Siu Wah Chung
Independent Non-Executive Director
Mr. Chung was appointed as an independent non-executive director of the Group in 2020. Mr. Chung has extensive experience in financial services, investments and management and worked at senior positions at Morgan Stanley Asia Limited, Redbrick Capital Management (Asia) Limited, Citigroup Global Markets Hong Kong Futures and Securities Limited.
Ms. Ka Lai Vanessa Chan
Independent Non-Executive Director
Ms. Chan was appointed as an independent non-executive director of the Group in 2020. Ms. Chan has more than 20 years of experience in auditing, financial accounting and financial management. She worked as senior manager of KPMG, one of the 4 major accounting firms, financial manager of the Kowloon Motor Bus Co. (1933) Ltd., and financial controller of China Agri-Industries Holdings Limited.
Corporate Governance Committee
The Group set up a corporate governance committee with written terms of reference. The members of the committee include Mr. Ka Chun Michael Wong, Mr. Yuk Woo Louis Wong and Mr. Siu Wah Chung.
The committee is primarily responsible for developing and reviewing policies and practices on corporate governance and making recommendations to the Board of Directors, and reviewing and monitoring the training and continuous professional development of the directors and senior management of our Group.
The Group set up an audit committee in accordance with Rule 3.21 of the Rules Governing the Listing of Securities of The Stock Exchange of Hong Kong Ltd ("Listing Rules"). and Appendix 14 Corporate Governance Code ("CG Code"). The members of the committee include Mr. Yuk Woo Louis Wong, Mr. Siu Wah Chung and Ms. Ka Lai Vanessa Chan.
The committee is primarily responsible for the appointment, re-appointment and removal of external auditors of our Group. The committee also helps the review of the Group's financial data, supervision of the Group's financial reporting system, risk management and internal control systems.
The Group set up a remuneration committee in accordance with Rule 3.25 of the Listing Rules and the CG Code. The members of the committee include Mr. Yuk Woo Louis Wong, Mr. Siu Wah Chung and Ms. Ka Lai Vanessa Chan.
The committee is primarily responsible for the policy and structure of the remuneration of all directors and senior management of the Group. It also makes the recommendations to the Board of Directors on the establishment of formal and transparent procedures to formulate the remuneration and compensation policies of individual executive directors and senior management.
The Group set up a nomination committee in accordance with the CG Code. The members of the Committee include Mr. Yuk Woo Louis Wong, Mr. Siu Wah Chung and Ms. Ka Lai Vanessa Chan.
The committee is primarily responsible for making recommendations to the board of Directors on any proposed changes to the Board to complement the Group's corporate strategies.
